Terms of Service

These Terms of Service ("Terms") govern your access to and use of Floyd ("Floyd," "we," "us," or "our"), including our website, AI receptionist service, and SMS communications (collectively, the "Services"). By signing up or using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

1. Legal Entity & Contact

2. Eligibility & Authority

You must be at least 18 years old (or the age of majority where you live) to use the Services. If you use the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

2.1 Intended Use

Floyd is designed for service businesses such as trades (plumbing, HVAC, electrical, handyman), auto detailing and repair, cleaning, lawn care, junk removal, pest control, and similar field-service operators.

2.2 Prohibited Industries

You may not sign up for, or use, the Services on behalf of any HIPAA-Regulated Entity, including but not limited to:

  • healthcare providers (doctors, dentists, chiropractors, mental health professionals, physical therapists, optometrists, pharmacists),
  • medical, dental, or surgical practices and clinics,
  • hospitals, urgent care centers, and outpatient facilities,
  • pharmacies, diagnostic laboratories, and imaging centers,
  • health plans, health insurance carriers, and any organization that creates, receives, maintains, or transmits Protected Health Information ("PHI") as defined under the Health Insurance Portability and Accountability Act ("HIPAA") and its implementing regulations.

Floyd is not a HIPAA Business Associate. Floyd does not sign Business Associate Agreements ("BAAs") and the Services are not configured, audited, or operated to process Protected Health Information. If you are a HIPAA Covered Entity or Business Associate, you must not use the Services. We may suspend or terminate any account we identify as a HIPAA-Regulated Entity, with or without notice, and will refund unused prepaid fees on a pro-rata basis.

The Services are also not intended for, and you may not use Floyd on behalf of, financial institutions subject to GLBA, telemarketing or call-center operations, political campaigns, adult-content businesses, or any business whose primary use case is mass outbound calling.

3. Definitions

  • Customer / You: The business owner or operator using Floyd.
  • Caller: A person who calls your business phone number and is answered by Floyd.
  • AI Receptionist: Floyd's automated voice agent that answers phone calls on your behalf.
  • Lead: Information captured during a call, including caller name, phone number, and request details.

4. The Services

Floyd provides an AI-powered phone receptionist that answers calls on behalf of your business, captures lead information, and sends you summaries via SMS.

You are responsible for:

  • setting up call forwarding from your business phone number to your Floyd number,
  • the accuracy of business information you provide to Floyd,
  • your own customer follow-up and business operations,
  • complying with applicable laws regarding call recording and AI disclosure in your jurisdiction.

5. Accounts and Security

  • You sign up and manage your account via SMS. Your phone number is your account identifier.
  • You are responsible for all activity associated with your phone number and account.
  • If you believe your account has been compromised, contact us promptly.

6. Messaging Program

By signing up, you consent to receive SMS messages from Floyd at the phone number you provide. The SMS program supports your account and the Services and includes, without limitation:

  • onboarding and setup messages,
  • lead notifications and call summaries,
  • account and billing notifications (trial reminders, payment status),
  • product nudges related to setting up or using Floyd (e.g., call-forwarding reminders),
  • responses to messages you send to Floyd.

Message frequency varies based on your account activity and the volume of calls answered on your behalf. Message and data rates may apply depending on your mobile carrier plan.

To opt out, reply STOP to any Floyd SMS at any time. We will stop sending SMS to your number. Note that opting out also disables your ability to manage Floyd by text, which is the primary interface; opting back in requires replying START or UNSTOP.

We use registered A2P 10DLC messaging through our telephony provider. We do not sell your phone number, do not share it with third parties for advertising, and do not use it for telemarketing.

7. Call Recording and AI Disclosure

  • Floyd records calls answered on your behalf and generates transcripts to provide the Services (lead summaries, call history, knowledge tuning).
  • Floyd's greeting identifies the AI assistant and discloses that the call may be recorded. The current greeting is: "Thanks for calling [your business]. They can't get to the phone right now, so I'm Floyd, their AI assistant. This call may be recorded. What's going on?" This disclosure is intended to satisfy two-party-consent requirements in jurisdictions that require it (including California, Florida, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania, and Washington) and AI-identification rules where applicable.
  • You acknowledge that the caller's continued participation after the disclosure constitutes implied consent under U.S. legal doctrine.
  • You are responsible for confirming that this disclosure is sufficient under the laws of your jurisdiction and the jurisdictions of your callers. If you believe additional disclosures are needed, do not use Floyd until you have a compliant configuration in place. Contact hey@floyd.app with questions.

8. Acceptable Use

You agree not to:

  • use the Services for illegal activities, spam, harassment, or abuse,
  • use Floyd to impersonate emergency services or government agencies,
  • provide false business information to Floyd,
  • use the Services in a way that could harm callers or third parties,
  • use the Services on behalf of a HIPAA-Regulated Entity, or to receive, transmit, or store Protected Health Information (see Section 2.2),
  • use the Services in any other Prohibited Industry listed in Section 2.2.

9. Billing, Plans, and Payments

  • Fees: The Services are billed as a monthly subscription at the rate stated on the pricing page. The current standard plan is $99 per month, which includes 100 answered calls per month and additional answered calls at $0.75 each.
  • Free Trial: New customers receive a 7-day free trial. No credit card is required to start the trial. The trial automatically ends without charge if you do not add a payment method.
  • Auto-Renewal: By adding a payment method, you authorize Floyd to automatically charge that payment method on a monthly basis until you cancel. Your subscription will renew each month at the then-current monthly rate. We will send you reminders before the renewal date by SMS to the phone number on file. You may cancel at any time by replying to any Floyd SMS or by emailing hey@floyd.app, and you may also use the secure billing portal link Floyd provides on request to manage cancellation, update your card, or download invoices. Cancellation takes effect at the end of the then-current billing period; the Services will continue through that period and will not renew the next.
  • Payment Processing: Payments are processed by Stripe, Inc. ("Stripe"). When you provide payment information, you provide it directly to Stripe under Stripe's terms and privacy policy. Floyd does not store full card numbers on its servers.
  • Refunds: Fees are generally non-refundable except where required by law. We may issue refunds at our discretion for service interruptions or compliance reasons (for example, accounts identified as ineligible under Section 2.2).
  • Nonpayment: Late or failed payments may result in suspension of the Services. Repeated failures may result in termination.
  • Taxes: You are responsible for applicable taxes unless we are required by law to collect them.

10. Data and Privacy

  • Floyd processes call data (recordings, transcripts, caller information) to provide the Services.
  • Lead information is sent to you via SMS. You are responsible for how you use and store this information.
  • See our Privacy Policy for details on how we collect, use, share, and protect information, including the list of third-party subprocessors and applicable retention periods.

11. Intellectual Property

  • Floyd IP: We retain all rights, title, and interest in the Services, software, and AI models.
  • Your Content: You retain ownership of your business information, knowledge entries, call recordings, transcripts, and any other content you or your callers provide. You grant Floyd a limited, worldwide, non-exclusive license to use this information to operate, maintain, secure, support, and improve the Services on your behalf, including by sending lead summaries to you, generating transcripts, and analyzing aggregate, de-identified usage patterns to improve Floyd's product.   • Feedback: If you provide feedback or suggestions, you grant Floyd a perpetual, royalty-free license to use it without restriction.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee:

  • that Floyd will answer every call without interruption or error,
  • that lead information captured will be 100% accurate,
  • that callers will be satisfied with the AI interaction,
  • that the Services will result in increased revenue or bookings.

13. Limitation of Liability

To the fullest extent permitted by law:

  • Floyd is not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, or loss of data).
  • Floyd's total cumulative liability for any claim will not exceed the fees you paid to Floyd in the three (3) months prior to the event giving rise to the claim.

14. Indemnification

You agree to defend and indemnify Floyd LLC from claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from:

  • your use of the Services and follow-up with callers,
  • your breach of these Terms,
  • your violation of law or third-party rights,
  • disputes between you and any caller or third party.

15. Suspension and Termination

  • By You: You may cancel your subscription at any time by texting Floyd, by emailing hey@floyd.app, or via the secure billing portal link Floyd provides on request. Cancellation takes effect at the end of your current billing period.
  • By Us: We may suspend or terminate your access if you breach these Terms, your usage poses a risk to Floyd, our other customers, or callers, or you fail to pay fees. We may also terminate accounts identified as ineligible under Section 2.2 (Prohibited Industries).

Upon termination, Floyd will stop answering calls on your behalf. Account data will be deleted or anonymized according to the retention windows described in the Privacy Policy unless retention is required by law (for example, billing records).

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via SMS or email. Continued use after changes become effective constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules.

18. Miscellaneous

  • Entire Agreement: These Terms are the entire agreement between you and Floyd regarding the Services.
  • Severability: If any provision is unenforceable, the remainder remains in effect.
  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • No Waiver: Failure to enforce a provision is not a waiver.
  • Force Majeure: Neither party is liable for delays caused by events beyond reasonable control.
  • Survival: Sections intended to survive (including IP, disclaimers, limitation, indemnity) will survive termination.
